End-User Licence Agreement

Terms for software and firmware supplied by Syntactica.

1. Scope

This End-User Licence Agreement (EULA) applies to Syntactica Ltd software or firmware expressly supplied subject to this agreement (the “Software”). A separate written agreement or an identified open-source or third-party licence takes precedence for the relevant Software. This EULA does not govern ownership of hardware.

2. Licence

Subject to compliance with this agreement, Syntactica Ltd grants the legitimate recipient a non-exclusive, non-transferable licence to install and use the Software with the product or system for which it was supplied, and to make a reasonable backup copy where lawful. The Software is licensed, not sold.

3. Restrictions

Except to the extent permitted by law or an applicable third-party licence, you must not distribute, sublicense, sell, rent or otherwise transfer the Software as a standalone product, remove intellectual property notices, or circumvent technical access controls. Nothing in this agreement prevents acts which cannot lawfully be prohibited, including applicable interoperability rights.

4. Updates and support

Updates, maintenance and support are provided only where separately agreed or expressly offered. Any update supplied under this agreement is covered by this EULA unless otherwise specified.

5. Safety and suitability

Where Software controls electrical or other physical equipment, it must be installed and operated only within the associated product's published limits and instructions. The user is responsible for appropriate system-level protection, installation, testing and supervision. Do not rely on the Software as the sole safeguard for a safety-critical system unless expressly specified in writing.

6. Warranties and liability

Any express warranties are those provided with the Software or in the applicable purchase agreement. To the extent permitted by applicable law, other warranties and liabilities are excluded or limited; no exclusion or limitation applies where prohibited by law, including liability for death or personal injury caused by negligence, fraud, or rights that cannot lawfully be excluded.

7. Termination

The licence ends if the recipient materially breaches this agreement and fails to remedy the breach where a remedy is possible. On termination, use must stop and copies must be deleted except where retention is legally required.

8. Governing law

This agreement is governed by the law of England and Wales, subject to any mandatory protections that apply in the user's jurisdiction. This agreement does not override statutory consumer rights.
